By downloading and/or using one of GR Studios free web tools you are legally bound by the following terms:

Use Policy
The web tool may be used for personal, business or client web site use but they may not be redistributed for sale or resold on CD, web site or any other medium. The User may not alter, or modify, or use the included graphics for any other use than for the intended use of this web tool.

Warranties and Disclaimers
GR Studios web tools are offered "as is" without warranty of any kind, either expressed or implied. GR Studios will not be liable for any damage or loss of data whatsoever due to downloading or using a web tool downloaded from GR Studios web site. GR Studios is not liable for any damages allegedly sustained arising out of use of our information, products and services. In no event shall GR Studios be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use the web tools downloaded from GR Studios' web site.

Multi-Use License:
The User is granted a non-exlusive, non-transferable right to use the web tool on ONE web site which the User is designing for personal or professional use. Profitting from the use of the web tool for ONE use is allowed and is not considered redistributing or resaling the web tool. If the web tool is to be used for multiple web sites or will be displayed on multiple web sites, the User may purchase a Multi-Use License which would allow the User mulitple use of the web tool for personal or professional use, but the User must still adhere to the "Use Policy" of this agreement concerning redistribution and resale.

Copyright
GR Studio owns and retains all right, title, and interest in and to the web tool, including all copyrights, patents, trade secret rights, trademarks, and other intellectual property rights therein. The User acknowledges that possession, installation, or use of the web tool does not transfer to the User any title to the intellectual property in the web tool, and that the User will not acquire any rights to the web tool. The User agrees that any copies of the web tool will contain the same property notices which appear on and in the web tool.

Limitation of liability
The User agrees that it shall defend, indemnify, save and hold GR Studios harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys' fees, ("Liabilities") asserted against GR Studios, that may arise or result from the use of web tools provided by GR Studios. The User agrees to defend, indemnify and hold harmless GR Studios against Liabilities arising out of any injury to person or property caused by any web tools sold or otherwise distributed in connection with GR Studios; any material used or added to the web tool by the User infringing or allegedly infringing on the proprietary rights of a third party; and any copyright infringement.

GR Studios reserves the right to change and/or modify these terms with no prior notice. By clicking the "I agree" button the User certifies that he or she is at least 18 years of age and the User understands this document and agrees to be legally bound by the terms of this legally binding contract.
